As long the interests are not encumbered further, then each should be free to sell. The present record title, as you have stated, reflects your interests are subject to an OGL which may affect the ultimate value. The buyer will not be concerned that you have not received a bonus payment since it will not affect their pricing model. It can obviously get more complicated. Just make sure to disclose to any buyer your known title issues.

Good news, we all received the bonus checks due us from Upland. Not sure what the holdup was but issue is resolved. Thanks for all your helpful comments.
